Welcome to Mindweave Technologies Pvt. Ltd. ("Mindweave," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of our website mindweave.tech and all related products, services, and platforms, including CareerSuite, PlacementPilot, Nova, and Restaurant Daily (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using our Services, you confirm that you:

• Are at least 18 years of age or have the legal capacity to enter into binding agreements
• Have the authority to bind yourself and/or your organization to these Terms
• Agree to comply with all applicable laws and regulations
• Have read and understood our Privacy Policy

If you do not agree to these Terms, you must discontinue use of our Services immediately.

2. Description of Services

Mindweave Technologies provides AI-powered software solutions and consulting services, including:

• CareerSuite: AI-powered recruitment and hiring platform
• PlacementPilot: Campus recruitment management system for educational institutions
• Nova: Voice AI assistant for macOS
• Restaurant Daily: AI-powered restaurant operations platform
• Custom AI Development: Bespoke AI solutions tailored to your business needs
• Consulting Services: AI strategy, implementation, and optimization

We reserve the right to modify, suspend, or discontinue any part of our Services at any time with or without notice.

3. User Accounts

3.1 Account Creation

Some Services may require you to create an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

3.3 Account Termination

We reserve the right to suspend or terminate your account at our discretion if we believe you have violated these Terms or engaged in fraudulent, abusive, or illegal activity.

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content, features, and functionality of our Services—including but not limited to software, code, algorithms, text, graphics, logos, designs, and documentation—are owned by Mindweave Technologies and are protected by copyright, trademark, and other intellectual property laws.

4.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes, subject to these Terms.

4.3 Restrictions

You agree not to:

• Copy, modify, or create derivative works of our Services
• Reverse engineer, decompile, or disassemble our software
• Remove or alter any proprietary notices or labels
• Use our Services to develop competing products
• Sublicense, sell, or transfer your rights to any third party

5. User Responsibilities

When using our Services, you agree to:

• Use the Services only for lawful purposes and in accordance with these Terms
• Not use the Services to harass, abuse, or harm others
• Not transmit viruses, malware, or any harmful code
• Not attempt to gain unauthorized access to our systems or networks
• Not interfere with or disrupt the integrity or performance of our Services
• Not use automated tools (bots, scrapers) without our written permission

6. Payment Terms

6.1 Fees and Pricing

Fees for our Services are as quoted or as specified in your service agreement. All prices are in Indian Rupees (INR) unless otherwise stated. We reserve the right to modify pricing with reasonable notice.

6.2 Payment Methods

We accept payments through bank transfer, UPI, and major credit/debit cards. All payments are processed through secure third-party payment processors.

6.3 Taxes

All fees are exclusive of applicable taxes (including GST). You are responsible for paying all taxes associated with your use of our Services.

6.4 Late Payments

Overdue payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.

7. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information shared during the course of the engagement. This obligation survives the termination of these Terms for a period of three (3) years.

8. Disclaimers

8.1 "As Is" Basis

Our Services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

8.2 No Guarantee of Results

While we strive to deliver high-quality AI solutions, we do not guarantee specific outcomes or results from using our Services. AI technology may produce varying results based on data quality, usage patterns, and other factors.

8.3 Third-Party Services

Our Services may integrate with or rely on third-party services. We are not responsible for the availability, accuracy, or reliability of such third-party services.

9. Limitation of Liability

To the maximum extent permitted by law:

• Mindweave shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities
• Our total liability for any claims arising from these Terms or your use of our Services shall not exceed the fees paid by you in the twelve (12) months preceding the claim
• These limitations apply regardless of the theory of liability (contract, tort, negligence, or otherwise)

10. Indemnification

You agree to indemnify, defend, and hold harmless Mindweave Technologies, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from your use of our Services, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

Either party may terminate these Terms:

• For convenience, with 30 days written notice
• Immediately, if the other party materially breaches these Terms and fails to cure such breach within 15 days of notice

Upon termination, your right to access and use our Services will cease immediately. Sections relating to intellectual property, confidentiality, limitation of liability, and governing law shall survive termination.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

12.2 Jurisdiction

Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Noida, Uttar Pradesh, India.

12.3 Arbitration

Before initiating litigation, the parties agree to attempt resolution through good-faith negotiations. If unsuccessful, disputes may be referred to binding arbitration under the Arbitration and Conciliation Act, 1996.

13. General Provisions

13.1 Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Mindweave regarding your use of our Services.

13.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

13.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.

13.5 Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated through our website or via email. Your continued use of our Services after such modifications constitutes acceptance of the updated Terms.
